What has happened

    Board agrees to put chairman's removal to a shareholder vote

    The board has agreed to put our two binding resolutions — removing the chairman, and one-year terms for directors — to a shareholder vote at this year's AGM, including on its proxy card. The proxy statement will name Zvi as their proponent, with a short statement of the reason for each, and the board will recommend against both. The advisory resolution, on a chairman with growth-company experience and a return to platform-led growth, has been left off the proxy card, so shareholders voting by proxy will not be able to vote on it. This is an important achievement for the campaign, and it took 90 days and two letters from our lawyers to confirm our right as shareholders to vote on these resolutions. We strongly believe the board should be encouraging good governance and accountability: there is still time for it to change its mind and recommend in favor of making board terms the standard one year instead of three.
